The first step is for the Shareholders to pass a Special Resolution, which is a resolution approved by at least 75% of the Shareholders based on voting rights. This can be done by notifying the company or at a Meeting, to notify the Directors of the company name change.

Once the Special Resolution is passed, the Directors must amend the company’s Constitution to reflect the new name. They will verify the availability of the new name and may also want to Reserve the Company Name before filing the documentation, to ensure it is not taken by another entity.

The Directors need to notify the Companies Registration Office (CRO) of the Special Resolution using Form G1Q within 15 days of its passing. The altered Constitution must also be submitted to the CRO along with the Form G1Q Signature Page.

Upon receiving the Form G1Q, the CRO will confirm acceptance and ensure all documents are in order. Within 2-3 days, the CRO updates the Registrar to reflect the new Company Name and issues a Certificate of Change of Name. The Directors should then order a Company Seal and notify all relevant Stakeholders (banks, suppliers, customers, Revenue Commissioners, etc.)
